Finmail vs Microsoft 365: why regulated banks and funds still need a deal-isolation workspace
Finmail Product
Regulated banks, PE/VC funds, and corporate IT often ask the same question: we already run Microsoft 365 / Exchange firm-wide—why buy another mailbox for the deal? The answer is not “365 is insecure.” The suite maximizes collaboration and manageability; deal-core decisions need least privilege and physical isolation. One tenant rarely optimizes both.
Three failure modes in concurrent negotiations
1. Firm-wide autocomplete mis-sends
Outlook’s directory is a feature—until a tired partner intends outside counsel and hits an ops shared mailbox instead. Larger tenants mean more lookalike display names. Keeping term sheets on the same plane makes “collaboration convenience” the default failure mode.
2. IT / compliance reach into diligence drafts
eDiscovery, retention, DLP, and admin search are mandatory for employment matters and regulators. The same reach covers live M&A drafts. Policies may say “deal folder, core team only,” yet delegation and device sync widen the surface. A deal-isolation workspace moves sensitive negotiation outside the BAU tenant—not to defeat lawful process, but to shrink the default search radius.
3. Leaver handoffs that leak live deals
When an analyst leaves, mailbox delegation and shared-mailbox membership often linger for continuity. If that mailbox also held an unannounced deal, the leak window lasts weeks. A dedicated plane can disable aliases, rotate Secure Share links, and shrink directories quickly; BAU handoff checklists optimize uptime, not secrecy.
Dual track: firm suite + deal-isolation workspace
| Track | Carries | Typical system |
|---|---|---|
| BAU | meetings, all-hands, HR, vendors | Microsoft 365 / Exchange |
| Deal isolation | IOIs, terms, wires, counterparty counsel | dedicated financial email (e.g. Finmail) |
Finmail does not replace 365. Day-to-day mail stays on the existing suite; the dedicated address carries deals and confidential work. Production application data sits in a single US region; commercial ops in Hong Kong; AskAI prepares briefs you confirm and does not train models on mail. It is not end-to-end encryption—if a contract requires server-unreadable mail, use that class of product.
Institutional checklist (paste into IT / compliance minutes)
- Roster — partners, deal captains, CFO designees, outside counsel only.
- Address — distinct address/alias per major deal or serious counterparty.
- DNS — MX/SPF/DKIM on the deal domain; push DMARC; inspect Identity Verification Center.
- Outbound — Delivery check + scheduled send; prefer Secure Share.
- AI — Privacy Gateway when summarizing; never fall back to demo analysis on quota errors.
- Close-out — disable aliases within 30 days; export audit events for compliance.
- Wording — tell buyers/LPs this is the formal deal notice address—no license or zero-access overclaim.
Division of labor with Purview / DLP
Purview and DLP reduce mis-tags inside the tenant; they still share one blast radius. Isolation removes materials that should never have been in that tenant. Mature firms keep both.
Ninety-day pilot without migrating mail
Weeks 1–2 pick one or two live deals; weeks 3–4 open Executive Inbox and finish DNS; weeks 5–8 move terms and wires; weeks 9–12 review near-miss mis-sends and IT search scope before scaling.
Closing
Microsoft 365 remains the operating system. A deal-isolation workspace answers a different question: how concurrent negotiations avoid letting directories, default eDiscovery, and leaver handoffs swallow diligence drafts. Dual track is an organizational answer—not a hobbyist preference.
One-page board language
Do not say “we distrust IT.” Say: the suite keeps serving all-hands collaboration and lawful discovery; the deal-isolation workspace serves least-privilege negotiation and closing notices. Together they cut structural mis-sends and over-visibility under concurrent deals. Finmail productizes that workspace per seat—no firm-wide Exchange migration.
Objections, short answers
“We have sensitivity labels.” Labels need perfect classification; isolation shrinks blast radius when classification fails. “Counsel lives in 365.” They may keep their firm domain; your outbound packs should still leave a dedicated plane with Delivery check. “Another mailbox slows us.” Move only above-threshold terms and wires—not meeting invites.
Topology under concurrent deals
Picture a mid-market PE running three acquisitions: A in exclusivity, B still at IOI, C preparing wires. If all three share one Exchange directory and one delegation web, A’s valuation bridge can attach to a B reply, and C’s bank-change note can CC an ops shared box. A deal-isolation workspace splits addresses and contact sets per deal so cross-wiring requires an active mistake.
IT need not stand up a new Microsoft tenant per deal—that is a migration project. A dedicated plane buys isolation at seat cost while 365 keeps running meetings and all-hands mail. For compliance, discovery can start from deal-address exports instead of boiling the ocean of three years of firm mail.
Aligning with the fund compliance manual
Put “above-threshold terms and wires must use allowlisted addresses” on page one beside “bank changes require call-back.” Audits check two facts: whether above-threshold threads still sit in BAU shared boxes, and whether the deal-plane roster stayed short. Finmail supplies Delivery check and exportable audit; the manual and discipline remain yours.
Printable deal-isolation checklist
- Find above-threshold term and wire threads still in Exchange shared boxes
- Open a dedicated address for each live deal; put it in engagement letters
- Finish MX/SPF/DKIM; observe and push DMARC
- Enable Delivery check and scheduled send; move sensitive packs to Secure Share
- Set Privacy Gateway policy; confirm AskAI never sends without a human
- 30-day alias disable + audit export at project close
- Send “formal notice address” change letters to core counterparties
- Quarterly spot-check: can ops accounts still autocomplete deal aliases?
Put the list on the standing IT / compliance agenda. It beats buying another all-hands “security suite” slogan.
Bridging to Enterprise scale
Classic and Executive Inbox fit signatories and deal captains first. When a second person needs the same custom domain—or you need centralized compliance controls—talk to sales about Enterprise. Do not delay isolating this week’s live deal because “we might buy Enterprise later.” Move the bleeding threads out of the BAU tenant now.
